Prepwise Terms of Use

These Terms of Use (the Terms) constitute a legally binding agreement governing your access to and use of the Prepwise mobile application, educational content, courses, study tools, and any related features (the Service). By downloading, accessing, or using the Service you acknowledge that you have read, understood, and unequivocally agree to be bound by these Terms.

I. Eligibility and Supervision

  1. Minimum Age: You must be at least thirteen (13) years old to access or use the Service.
  2. Minor Usage: Users under eighteen (18) may use the Service only with the express permission and active supervision of a parent or legal guardian.
  3. Children Under 13: The Service is not directed to children under 13. We do not knowingly collect information from users under 13.

II. Non-Affiliation and Trademark Disclaimer

  1. Independent Platform: Prepwise is not affiliated with, endorsed by, or sponsored by the U.S. Department of Defense, the College Board, or ACT, Inc.
  2. Trademark Ownership: ASVAB, SAT, and ACT are registered trademarks of their respective owners.

III. Data Persistence and Cloud Integration

  1. No Account Requirement: Prepwise does not require a centralized account login.
  2. iCloud and Device ID: Your study progress and purchase records are associated with your Apple ID and unique Device ID.
  3. Auto-Save: We utilize Apple iCloud and Firebase backend services for automated synchronization. See the Privacy Policy for the complete list of processors.
  4. Risk of Data Loss: Deleting the app, factory resetting, or losing access to your Apple account may result in permanent loss of study progress.

IV. Intellectual Property and Traceability

  1. Exclusive Ownership: The Service, including software, lesson content, graphics, and proprietary data, is the exclusive property of Prepwise.
  2. Proprietary Traceability: We use steganographic watermarking uniquely linked to your User ID to protect content.
  3. OCR Poisoning: Educational materials may contain adversarial noise that produces inaccurate results when scanned by unauthorized OCR tools.
  4. Limited License: A non-transferable, non-sublicensable license to use the Service for personal, non-commercial educational purposes on an Apple-branded device that you own or control.

V. Acceptable Use and Anti-Piracy

  1. Unauthorized Distribution: You may not capture, scan, screenshot, video-record, or redistribute Prepwise content.
  2. Anti-Fraud: You may not use bots, scripts, emulators, or automation to circumvent fraud-prevention mechanisms.
  3. Network Integrity: VPN or proxy use to evade regional restrictions is prohibited.
  4. No Reverse Engineering: You may not decompile, disassemble, or reverse engineer the Service except as expressly permitted by law.

VI. Apple App Store Purchases and Billing

  1. Transaction Processing: All purchases are processed exclusively through the Apple App Store billing system.
  2. Auto-Renewal: Subscriptions renew automatically unless canceled at least 24 hours before the end of the current billing period.
  3. Free Trial Conversion: A free trial converts automatically to a paid subscription unless canceled at least 24 hours before the trial ends.
  4. Cancellation: Manage cancellations directly via iOS Settings, Apple ID, Subscriptions.
  5. Refunds: Billing refunds via Apple Support. Performance refunds governed by the Membership Integrity & Educational Guarantee Agreement.
  6. Price Changes: We may change subscription pricing. Existing subscribers will be notified and given the option to cancel before the new price takes effect.

VII. AI Disclosure and Automated Decisions

  1. AI Integration: Prepwise uses AI to generate educational explanations and detect fraud.
  2. Human Review: Any denial of benefits based on automated fraud detection is subject to manual human review upon written request to support@reply-prepwise.com within 30 days.

VIII. Disclaimer of Warranties and Limitation of Liability

  1. As-Is Basis: The Service is provided as-is and as available without warranties of any kind.
  2. Service Interruptions: Prepwise is not liable for interruptions caused by third-party infrastructure (iCloud, telecom, Apple, Firebase).
  3. Liability Cap: Aggregate liability shall not exceed the total amount paid by you to Prepwise during the twelve (12) months preceding the claim.

IX. Indemnification

You agree to defend, indemnify, and hold harmless Prepwise, its officers, directors, employees, and agents from any claim, damage, loss, or expense arising from: (a) your breach of these Terms, (b) your violation of applicable law, (c) your violation of any third party right including intellectual property or privacy, or (d) your content or conduct within the Service.

X. Dispute Resolution: Binding Arbitration

  1. Arbitration Agreement: Disputes will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.
  2. Class Action Waiver: Disputes will be conducted only on an individual basis.
  3. Opt-Out Right: You may opt out of the arbitration agreement by sending written notice to support@reply-prepwise.com within thirty (30) days of first accepting these Terms.

XI. Termination

Prepwise may suspend or terminate your access immediately and without notice if we determine you have violated these Terms, engaged in fraud, or distributed proprietary content. Sections IV, VIII, IX, X, XII, XIV, and XV survive termination.

XII. Apple-Specific Terms (Required by Apple App Store)

You acknowledge that these Terms are entered into between you and Prepwise, not with Apple, Inc., and Prepwise (not Apple) is solely responsible for the Service and its content. The following provisions apply to your use of the Service on an Apple-branded device:

  1. Acknowledgment: Apple has no obligation to furnish any maintenance or support services with respect to the Service.
  2. Scope of License: The license is non-transferable, limited to use on Apple-branded devices that you own or control, as permitted by the Apple Media Services Terms.
  3. Maintenance and Support: Prepwise is solely responsible. Apple has no obligation.
  4. Warranty: Prepwise is responsible for product warranties. In the event of failure to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price. Apple has no other warranty obligation.
  5. Product Claims: Prepwise, not Apple, is responsible for addressing any claims relating to the Service, including product liability, regulatory non-conformity, and consumer protection.
  6. Intellectual Property Rights: Prepwise, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any third-party IP infringement claim.
  7. Legal Compliance: You represent and warrant that you are not located in a country subject to U.S. Government embargo, and you are not on any U.S. Government list of prohibited or restricted parties.
  8. Third-Party Beneficiary: Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and have the right to enforce these Terms against you.

XIII. Copyright Complaints (DMCA)

If you believe content on the Service infringes your copyright, send a notice compliant with 17 U.S.C. § 512(c) to our designated agent at support@reply-prepwise.com containing: (a) signature, (b) identification of the copyrighted work, (c) identification of the infringing material, (d) your contact information, (e) a good-faith statement, and (f) a statement under penalty of perjury that the information is accurate and you are authorized to act.

XIV. Miscellaneous

  1. Changes to Terms: Material changes will be communicated through an in-app notice and the "Last Updated" date.
  2. Severability: If any provision is held invalid, the remaining provisions continue in full force.
  3. No Waiver: Failure to enforce any right does not constitute a waiver.
  4. Force Majeure: Neither party is liable for failure due to causes beyond reasonable control, including natural disasters, war, pandemics, or third-party service outages.
  5. Entire Agreement: These Terms, together with the Privacy Policy, Subscription & Cancellation Policy, and Membership Integrity Agreement, constitute the entire agreement.
  6. Assignment: You may not assign these Terms without our prior written consent.

XV. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
